Name the actual contracting parties
Check whether the agreement is with an individual, a registered business, or someone acting for another entity. Gather the available identity and business documents and ask who has authority to sign. Trading names, payment recipients, and signature blocks should be considered together. If they differ, request an explanation before treating the paperwork as a complete account of the deal.
Describe delivery in observable terms
Specify the goods or services, quantities, quality expectations, delivery place, and evidence of completion. Attach the relevant specification rather than relying on a general phrase such as satisfactory work. For staged work, distinguish each milestone and its review process. Keep a record of agreed revisions so later discussion does not depend on competing memories of a telephone call.

Read the payment terms as a sequence
Work through the proposed advance, later instalments, invoices, and final payment. Identify the currency, the intended channel, and who bears particular charges. UNCITRAL’s international contract guidance discusses payment conditions alongside applicable exchange and regulatory rules. Its guidance is a drafting reference, not proof that a particular payment route or contractual term is lawful or workable in Yemen.
Discuss interruptions and changes
Ask what happens if goods cannot arrive, a supplier changes, or performance is delayed. A clause should make the notification and decision process understandable, but its legal effect still needs advice. Consider who can approve extra work and how the price is adjusted. Avoid assuming that an unexpected event automatically cancels every obligation or excuses every missed payment.
Understand the dispute arrangement
Have the adviser explain any choice of law, court, arbitration, or mediation clause in practical terms. Ask about language, location, likely costs, and enforceability in the circumstances. Before signing, confirm which version controls if the agreement is bilingual. Keep the signed text and all incorporated attachments together so later readers can identify exactly what was accepted.
